These Terms of Service ("Terms") govern your access to and use of the website zedpro.me and the services provided by ZedPro Development ("ZedPro", "we", "us", "our"), Company No. 202203172244 (003414099-T). By using our website or engaging our services, you agree to these Terms.

1. Services

ZedPro provides website, web application, mobile application, and custom software development, along with related consulting, deployment, hosting, and maintenance services.

2. Engagements, quotes, and proposals

Project scope and pricing are confirmed in a written proposal following a scoping discussion. Unless otherwise agreed in writing, projects are billed on a fixed-price basis: 50% deposit to begin and 50% on completion. Work begins once the deposit is received.

3. Your responsibilities

You agree to provide accurate information, content, access, and timely feedback reasonably needed to deliver the services. Delays in providing these may affect agreed timelines.

4. Intellectual property

On full payment, you own the final deliverables produced specifically for you, including the source code and content we create for your project. We retain ownership of our pre-existing tools, frameworks, libraries, and know-how used to deliver the work. Unless you request otherwise in writing, we may reference and display completed work in our portfolio and marketing.

5. Payment

Invoices are payable as stated in your proposal. Late or non-payment may result in suspension of work or services. Hosting and maintenance, where applicable, are billed as separately agreed.

6. Third-party services

Our work may rely on third-party platforms and services (for example, hosting, payment, analytics, and plugins) governed by their own terms. We are not responsible for the availability or actions of third parties.

7. Warranties and disclaimers

We deliver services with reasonable skill and care. Except as expressly agreed, the website and services are provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted or error-free.

8. Limitation of liability

To the maximum extent permitted by law, ZedPro shall not be liable for any indirect, incidental, or consequential losses. Our total liability for any claim arising from an engagement shall not exceed the fees paid to us for that engagement.

9. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only for the purpose of the engagement.

10. Termination

Either party may terminate an engagement in writing. You remain responsible for fees for work performed up to termination. Deposits cover work already commenced and are non-refundable once work has begun.

11. Governing law

These Terms are governed by the laws of Malaysia, and disputes are subject to the exclusive jurisdiction of the Malaysian courts.

12. Changes

We may update these Terms from time to time. The latest version will be posted on this page with a revised effective date.
